These Terms and Conditions govern your use of the QR code and venue management services provided by Pristine3D LTD. These terms apply when you access our website, create an account, or use our services.
By using our services, you agree to these terms. If you do not agree, do not use our services.
1. Acceptance of Terms
By accessing or using our services, you confirm that you:
- Are at least 18 years old or have parental/guardian authorization
- Will comply with all applicable Nigerian laws
- Will provide accurate information when required
- Understand these terms and agree to be bound by them
2. Service Description
Pristine3D LTD provides:
- QR code generation and management systems
- Digital venue and menu display services
- Analytics and usage tracking tools
- Team access and collaboration features
- Physical QR code sticker production and delivery
3. User Accounts and Responsibilities
Account Creation:
You must provide accurate, complete, and current information. You are fully responsible for all activities under your account.Account Security:
You must maintain the confidentiality of your login credentials and notify us immediately of any unauthorized access.Prohibited Activities:
You agree not to:- Use our services for illegal activities or to harm others
- Attempt to breach our security or access unauthorized areas
- Reverse engineer, decompile, or create derivative works
- Use automated systems to access our services without permission
- Submit false, misleading, or defamatory venue information
- Infringe on intellectual property rights of others
4. QR Code Services and Physical Products
QR Code Functionality:
We provide QR codes for linking to digital content. We do not guarantee continuous availability, scanning accuracy, or compatibility with all devices.Physical QR Stickers:
Physical QR code stickers are produced and distributed subject to availability. We are not responsible for damage, loss, or misdelivery of physical products once they leave our facilities.Lifetime Access and "Never Expires" Policy:
QR code stickers purchased as one-time products (not subscriptions) provide lifetime access to our digital services. "Lifetime access" and "never expires" refer to the operational lifetime of venu.ng services, not the purchaser's lifetime or in perpetuity.This means:
- No recurring fees for basic QR sticker functionality
- Access continues as long as Pristine3D LTD operates the venu.ng service
- We do not guarantee service availability beyond the company's operational existence
- Advanced features may require separate subscription purchases
- We reserve the right to discontinue services with reasonable notice as outlined in Section 8
One-time sticker purchases are distinct from subscription plans, which require recurring payment for continued access to premium features.
Third-Party Scanning:
QR code scanning depends on third-party applications and devices. We have no control over scanner apps or their functionality.5. Subscriptions and Payments
Subscription Plans:
Paid subscriptions provide access to premium features. Subscription fees are billed in advance and are non-refundable except as required by law.Payment Processing:
Payments are processed through third-party providers. We are not responsible for payment processor errors, delays, or fees.Automatic Renewal:
Subscriptions automatically renew unless cancelled. You may cancel anytime, but no refunds are provided for unused periods.6. Intellectual Property Rights
Our Property:
All software, designs, logos, QR code generation algorithms, and related technology remain our exclusive property. You receive only a limited license to use our services.Your Content:
You retain ownership of venue information you submit but grant us a worldwide, royalty-free license to use, display, and process your content for service provision.Generated QR Codes:
QR codes generated through our platform remain linked to our services. You may not use our QR codes with competing services.7. Team Access and Collaboration
Team Member Responsibilities:
Account owners are fully responsible for all actions taken by team members they invite. Team access can be revoked at any time.Data Access:
Team members may have access to sensitive venue and customer data. Account owners must ensure team members comply with these Terms.8. Service Availability and Modifications
No Uptime Guarantees:
We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects service availability.Service Changes:
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.9. Data and Privacy
Data Collection:
We collect and process data as described in our Privacy Policy. By using our services, you consent to our data practices.Data Security:
While we implement security measures, you acknowledge that no system is completely secure. We are not liable for unauthorized data access beyond our control.10. Disclaimers and Limitation of Liability
Service Basis:
Our services are provided "as is" and "as available." We do not guarantee uninterrupted operation or that our services will meet all your specific requirements.Limitations:
We are not liable for issues beyond our reasonable control, including:- Third-party device compatibility or scanning application failures
- Internet connectivity issues or network outages
- Actions of your team members or external parties
- Accuracy of venue information you provide
- Force majeure events (natural disasters, government actions, etc.)
Liability Cap:
Our total liability for any claims arising from these terms or your use of our services is limited to the amount you paid us in the 12 months preceding the claim.11. Indemnification
You agree to defend, indemnify, and hold harmless Pristine3D LTD from claims arising from: (a) your use of our services, (b) content you submit, (c) your violation of these terms, (d) actions of your team members, or (e) your violation of third-party rights.
12. Termination
Our Rights:
We may suspend or terminate your account immediately for any violation of these Terms, non-payment, or at our sole discretion with 30 days' notice.Effect of Termination:
Upon termination, you lose access to all services and data. We may delete your data after a reasonable period. No refunds will be provided.13. Dispute Resolution and Governing Law
Governing Law:
These terms are governed by Nigerian law. Disputes will be resolved in Lagos State, Nigeria.Arbitration:
Any disputes arising from these terms or our services must be resolved through binding arbitration under the Nigerian Arbitration and Conciliation Act, not through court litigation.Individual Disputes:
All disputes must be resolved individually. You waive any right to participate in class actions or representative proceedings.Exceptions:
Either party may seek injunctive relief in court for intellectual property violations or urgent matters requiring immediate action.14. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, cyberattacks, or other force majeure events.
15. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. These Terms constitute the entire agreement between you and Pristine3D LTD.
16. Changes to Terms
We may update these Terms at any time. Material changes will be notified via email or service announcements. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using our services.
